SOLU PLATFORM, TERMS AND CONDITIONS

1. Introduction These Terms govern the use of Solu’s software platform ("Service"). By using the Service, you ("Customer") agree to these Terms.

2. Subscription & Payment 2.1. The Service is available via subscription with multiple pricing options as per the agreement or invoice. 2.2. Payment is due within 30 days of the invoice date. Late payments may result in suspension. 2.3. Customers are responsible for applicable taxes (VAT / Sales tax). 2.4. Plans can be upgraded anytime with prorated billing; downgrades are not allowed mid-term. 2.5. A 30-day money-back guarantee applies to new subscriptions.

3. License & Usage 3.1. Solu grants a non-exclusive, non-transferable right to use the Service. 3.2. Resale, sublicensing, reverse engineering, and unauthorized access are prohibited. 3.3. Customers cannot use the Service to develop competing products.

4. Data & Privacy 4.1. Solu collects and processes data per its Privacy Policy. 4.2. Customers retain ownership of their data; Solu may use anonymized data for research. 4.3. Solu implements security measures but is not liable for breaches.

5. Service Availability 5.1. While we strive for uptime, uninterrupted service is not guaranteed. 5.2. Maintenance will be communicated where possible. 5.3. Solu is not responsible for outages beyond its control.

6. Confidentiality 6.1. Both parties must keep proprietary information confidential. 6.2. Confidentiality does not apply to publicly available or lawfully obtained information. 6.3. Disclosures required by law must be preceded by reasonable notice.

7. Limitation of Liability 7.1. The Service is provided "as is" without warranties. 7.2. Solu is not liable for indirect or consequential damages. 7.3. Liability is capped at the total amount paid in the last 12 months.

8. Termination 8.1. Either party may terminate with 30 days’ written notice before renewal. 8.2. Breach of Terms may result in suspension or termination. 8.3. Upon termination, all access rights cease; outstanding payments remain due.

9. Governing Law 9.1. These Terms are governed by Finnish law. 9.2. Disputes will be resolved through negotiations or in Finnish courts.

10. Miscellaneous 10.1. These Terms constitute the entire agreement. 10.2. Failure to enforce rights does not waive them. 10.3. Solu may update these Terms with notice. 10.4. Customer grants Solu a limited right to reference them in marketing with prior approval.
